Blade Terms of Use

Thanks for using our products and services (the "Services"). The Services are provided by BR28 LTD ("we", "us" and "Blade"), under the trading name of "Blade". Our Company Registration number is 11572809 and we are an England and Wales Private Limited Company limited by Shares pursuant to the Companies Act 2006. We can be contacted at [email protected]
By using the Services, you agree to these terms, please read them carefully.

Using the Services

You must follow any policies made available to you within the Service.
Do not misuse our Services, for example, do not interfere with our Services or try to access them using a method other than the interface and the instructions that we provide.
You may use our Services only as permitted by law.
We may suspend or stop providing our Services to you if you do not comply with our terms or policies or if we are investigating suspected misconduct.

Using our Services does not give you ownership of any intellectual property rights in our Services or the content that you access.
You may not use content from our Services unless you obtain permission from its owner or are otherwise permitted by law.
These terms do not grant you the right to use any branding or logos used in our Services.
Do not remove, obscure or alter any legal notices displayed in or along with our Services.

In connection with your use of the Services, we may send you service announcements, administrative messages and other information. You may opt out of some of those communications.

Some of our Services are available on mobile devices. Do not use such Services in a way that distracts you and prevents you from obeying traffic or safety laws.

Do not use the Services on behalf of an organization proscribed under Schedule 2 of the Terrorism Act 2000.
Do not use the Services if you are subject to a designation under the Terrorist Asset-Freezing etc. Act 2010.
Do not use the Services if you are the subject of a direction pursuant to Schedule 7 of the Counter-Terrorism Act 2008.

Your Account

You may need an account in order to use some of our Services. You can create an account as part of our services where we give you the opportunity to (unless we have previously instructed you that you are not permitted to create an account).
You can create your account and sign into your account through many different means, including using an email and password or by signing in through your Google account. Do not create an account if a previous account you hold has been banned or suspended from the service and has not yet been un-banned or un-suspended from the service.
When you create or sign in to an account, we work with Google Ireland Limited ("Google") to process this request. You should therefore be familiar with, and understand you are subject to Google's policies if you access this part of the Service. You can find these policies here: https://policies.google.com

Cancelling Blade Premium

We're sorry to see you go, to cancel Blade Premium, please send an email at least 48 hours before your next payment is due to [email protected], we will reply back to confirm your subscription has been cancelled.

Your UGC

If we give you the ability to upload, submit, store, send or receive content, assets, or any other thing not solely created by us to or through our services ("UGC"), you should take care not to upload UGC that is copyrighted that you do not have the rights to upload (and you must further have the right to grant us the license described below).

License

If you use a facility to upload UGC to our service, we may require a license to properly process this UGC. Therefore, when you upload, submit, store, send or receive content to or through our Services you give us (and those we work with) a worldwide licence to use, host, store, reproduce, modify, create derivative works (such as those resulting from changes that we make so that your content works better with our Services), communicate, publish, publicly perform, publicly display and distribute such content. The rights that you grant in this licence are for the limited purpose of operating, promoting and improving our Services, and to develop new ones. This licence continues even if you stop using our Services.
You must have the ability to grant us this license for every item of UGC.

Changes to our Services

We are constantly changing and improving our Services. We may add or remove functionality or features and we may suspend or stop the Service (or any part of it) altogether.
You can stop using our Services at any time. We may also stop providing Services to you or add or create new limits to our Services at any time.

Warranties

We provide our Services using a commercially reasonable level of skill and care and we hope that you will enjoy using them. But there are certain things that we do not promise about our Services.
Other than as expressly set out in these terms or additional terms, neither us nor our suppliers or distributors make any specific promises about the Services. For example, we do not make any commitments about the content within the Services, the specific functions of the Services or their reliability, availability or ability to meet your needs. We provide the Services “as is”.
Some jurisdictions provide for certain warranties, like the implied warranty of merchantability, fitness for a particular purpose and non-infringement. To the extent permitted by law, we exclude all warranties.

Liability

When permitted by law, we will not be responsible for lost profits, revenues or data, financial losses or indirect, special, consequential, exemplary or punitive damages.
To the extent permitted by law, the total liability of Blade and its suppliers and distributors for any claims under these terms, including for any implied warranties, is limited to the amount that you paid us to use the Services (or, if we choose, to supplying you with the Services again).
In all cases, we will not be liable for any loss or damage that is not reasonably foreseeable.

Consumer Liability

We recognise that in some countries, you might have legal rights as a consumer. If you are using the Services for a personal purpose, then nothing in these terms or any additional terms limits any consumers’ legal rights which may not be waived by contract.

Business Liability

If you are using our Services on behalf of a business (including a business you own or operate, even if solely by yourself), that business accepts these terms. It will hold harmless and indemnify Blade and its members, affiliates, officers, agents and employees from any claim, action or proceedings arising from or related to the use of the Services or violation of these terms, including any liability or expense arising from claims, losses, damages, judgements, litigation costs and legal fees.

Modifications to these Terms

We may modify these terms or any additional terms that apply to the Service to, for example, reflect changes to the law or changes to our Services. You should look at the terms regularly. We’ll post notice of modifications to these terms on this page. Changes will not apply retrospectively and will become effective no earlier than fourteen days after they are posted. However, changes addressing new functions for the Service or changes made for legal reasons will be effective immediately. If you do not agree to the modified terms for the Service, you should discontinue your use of the Service.
These terms govern the relationship between us and you. They do not create any third party beneficiary rights.
If you do not comply with these terms and we do not take action immediately, this doesn’t mean that we are giving up any rights that we may have (such as taking action in the future).
If it turns out that a particular term is not enforceable, this will not affect any other terms.

This is your only Agreement

The comments of the members of the directors of BR28 LTD, and their affiliates, employees, officers or any other relations whatsoever, do not create any binding contract or relationship between you and us, except as described in these terms alone. These are the final terms of our relationship to the exclusion of all others.
The views, opinions and comments of any director of BR28 LTD are their own, and do not represent those of Blade.

Vulnerability Research

If you are a Security Researcher we may, at our sole discretion, grant you the right to perform Security Reviews, Vulnerability Research or Penetration Testing our services, on terms agreed mutually between us and you. You should not perform Security Reviews, Vulnerability Research or Penetration Testing without first seeking and gaining our permission. To gain this permission, please contact us at the email previously provided. For the avoidance of doubt, our agreement is only binding when it is transmitted through this official communications channel, do not assume you have our permission because a director of BR28 LTD gave you permission personally.

Governing Law

These terms are governed by English law, us and you submit to the exclusive jurisdiction of the English courts in relation to any dispute arising out of or relating to these terms, but we will still be allowed to apply for injunctive remedies (or other equivalent types of urgent legal remedy) in any jurisdiction (and for the avoidance of doubt, only we hold this right under these terms, and you do not have the right to apply for injunctive remedies or other equivalent types of urgent legal remedy, except before the English courts).
